Supporting in-house counsel and law firms

Brook Intelligence provides a range of customised LPO services to law firms and the legal departments of corporates.

With budgets under strain, both law firms and in-house legal teams are looking to outsource certain legal functions to ensure value-for-money.

For in-house counsel it means leveraging outsourcing to extend dwindling budgets, centralising and co-ordinating work and reducing risk across areas the in-house team struggles to service.

For law firms, it means being able to focus attention on offering strategic advice, giving trainees high-level experience, accessing a wider range of resource and offering competitive rates.

Contract drafting

Making modifications to established contacts for approval by in-house counsel including structured drafting of contracts and agreements such as sale and purchase agreements, procurement contracts, commercial leases, etc.

Contract reviews

Reviewing agreements of another party in a proposed transaction to search for any particular information that the legal team may be looking for. For example, in the case of a merger or acquisition searching for assignment and restriction clauses, property leases, securities, etc.

Contract management

Management of a company's own portfolio of contracts including filings and notices, performance of ongoing contractual obligations, default notices as well as non-commercial agreements such as licenses.

Due diligence reviews (under the supervision of in-house counsel or its outside counsel)

Identifying risks in M&A transactions. This includes material adverse change and change of control clauses, restrictive covenants, assignment and termination clauses. Reviews typically cover contracts, correspondence, company books, government required documents and litigation documents.

Litigation support. Aiding clients with the review and production of documents presented as evidence in litigation cases including reviewing, classifying & coding and indexing of documents. This also covers e-discovery reviews of electronic materials.

Legal research

This involves primary and secondary legislation searching, case law research, document abstract execution, journal searching and multijurisdictional research and surveys. Also, providing tailored business information and legal research such as SEC databases and litigation history of target subjects.

Legal compliance

Corporate governance and regulatory requirements. Co-ordinating global filings, drafting of regular and/or standard corporate documentation, checking regulatory standing across member firms, etc.

Other compliance. For example, statutory compliance with local and global accounting regulatory bodies, insolvency services, financial services authorities, etc.
